Terms of Service

These Terms of Service ("Terms") govern your access to and use of WineSage.ai (the "Service"), operated by winesage.ai ("WineSage," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. In these Terms, "consumer" means an individual using the Service wholly or mainly outside their trade, business, craft, or profession.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you use the Service on behalf of an organization, you represent that you have authority to bind it, and "you" includes that organization.
2. Description of the Service
WineSage.ai is an independent, AI-assisted study and practice platform for candidates preparing for Master of Wine ("MW") examinations. It provides automated grading, feedback, practice materials, mock tests, and related study tools. WineSage.ai is not affiliated with, endorsed by, or sponsored by the Institute of Masters of Wine, and no feedback or score generated by the Service reflects the views, standards, or decisions of the Institute. The Service is a preparation aid only and does not predict or guarantee examination outcomes.
3. Eligibility and User Accounts
You must be at least 18 years old and able to form a binding contract. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for the confidentiality of your credentials and for all activity under your account, and you agree to notify us promptly of any unauthorized use at contact@winesage.ai. We may suspend or terminate accounts that violate these Terms, are used fraudulently, or are inactive for an extended period. Access via invitation or tester codes is granted at our discretion and may be revoked at any time.
4. Subscriptions, Free Trials, Billing, and Cancellation
4.1 Free trial. We may offer a free trial of 14 days, subject to usage caps and other limits we will communicate to you. We do not collect a payment method to begin a free trial, so your trial will not convert to a paid subscription automatically and you will not be charged when it ends. To continue using the paid Service after your trial, you must subscribe and provide a payment method; if you do not, your access will simply pause when the trial ends.
4.2 Subscriptions and automatic renewal. Paid subscriptions are billed in U.S. dollars at $59.99 per month or $647.89 per year, as selected at checkout, through our payment processor, Stripe. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD AT THE THEN-CURRENT RATE, AND YOUR PAYMENT METHOD WILL BE CHARGED, UNTIL YOU CANCEL. You authorize us and Stripe to store your payment details and charge them on a recurring basis. Where required by applicable subscription law, we will send renewal reminders and clear cancellation instructions.
4.3 How to cancel future renewals. You may cancel at any time through your account settings, the Stripe customer portal, or by emailing contact@winesage.ai. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not charge a cancellation fee.
4.4 Statutory cancellation right (consumers). If you are a consumer in the UK, EU, or another jurisdiction with a statutory cooling-off period, you may have the right to cancel a paid subscription within 14 days of purchase. Where you ask us to begin providing the Service during that period — for example, by submitting work for grading or accessing tools — you acknowledge that you lose the right to cancel once the Service has been fully performed, and that if you cancel after performance has begun you may be charged for the portion already supplied. This does not affect your right under Section 4.3 to cancel future renewals at any time.
4.5 Price changes. We may change subscription prices on reasonable advance notice; any change takes effect at your next renewal. Continued use after a change takes effect constitutes acceptance.
4.6 Refunds. Except where a refund is required by applicable law (including any statutory cancellation right in Section 4.4), all payments are non-refundable. If you cancel, your subscription continues until the end of the current billing period and is not renewed, and we do not refund any portion of the fees you have paid, including for unused time.
5. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose or in breach of applicable law; (b) reproduce, resell, sublicense, or commercially exploit the Service or its content without our written permission; (c) scrape, copy, or systematically extract content — including grading logic, prompts, or feedback — except for your own personal study; (d) reverse-engineer, decompile, or attempt to derive the underlying models or source code; (e) upload content that is unlawful, infringing, or that you lack the right to submit; (f) introduce malware or attempt unauthorized access to the Service or other users' data; (g) impose an unreasonable load on our infrastructure or that of our providers; or (h) share account access or circumvent usage limits. We may investigate and take action, including suspension or termination, for any violation.
6. Intellectual Property and Licences
6.1 Our property. The Service — including all software, design, text, grading methodology, prompts, and content we provide (excluding your Submissions) — is owned by us or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal study, subject to these Terms.
6.2 Your Submissions.You retain ownership of the exam answers, notes, and other materials you submit ("Submissions"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, and analyze your Submissions to operate and provide the Service to you.
6.3 Calibration and improvement. You additionally grant us a licence to use your Submissions and the associated grading output to evaluate, calibrate, and improve the Service, including by creating anonymized and aggregated data. Once data has been anonymized so that it no longer identifies you, it is no longer personal data and we may retain and use it without further restriction. We will not publish your Submissions in a form that identifies you without your consent. You may opt out of the use of your identifiable Submissions for improvement by emailing contact@winesage.ai; opting out does not affect anonymized data already created or work already completed.
6.4 AI processing.Your Submissions are transmitted to third-party AI providers (including Anthropic) to generate grading and feedback, subject to those providers' terms and data-handling practices, as described in our Privacy Policy.
7. Consumers and Mandatory Rights
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited. If you are a consumer, you have statutory rights — including, in the UK, rights under the Consumer Rights Act 2015 that services be supplied with reasonable care and skill — and nothing in these Terms affects those rights or requires you to accept anything less favourable than those rights guarantee. Where any provision of these Terms conflicts with a mandatory consumer protection that applies to you, that protection prevails and the provision applies only to the extent the law permits.
8. Disclaimer of Warranties
SUBJECT TO SECTION 7, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT GRADING OR FEEDBACK WILL BE ACCURATE, COMPLETE, OR RELIABLE, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT IT WILL IMPROVE YOUR EXAMINATION RESULTS. GRADING IS GENERATED BY AN AUTOMATED AI SYSTEM AND MAY CONTAIN ERRORS. If you are a consumer, the exclusions in this Section apply only to the extent permitted by the mandatory law of your country of residence, and your statutory rights are not affected.
9. Limitation of Liability
SUBJECT TO SECTION 7, TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL winesage.ai, ITS OWNERS, OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR EXAMINATION OUTCOMES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, ON ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Nothing in this Section limits the liabilities described in Section 7, and for consumers these limitations apply only to the extent permitted by applicable mandatory law.
10. Changes to the Service and Terms
We may modify, suspend, or discontinue any part of the Service at any time. We may update these Terms from time to time; if changes are material, we will give reasonable notice (for example, by email or in-app notice) before they take effect. Continued use after that constitutes acceptance. If you do not agree, you must stop using the Service.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and any dispute will be resolved in the state or federal courts located there, to which you consent to personal jurisdiction. However, if you are a consumer resident in the UK, the EU, or another jurisdiction whose law guarantees you the protection of mandatory local rules, nothing in this Section deprives you of the protection of the mandatory laws of your country of residence, and you may bring proceedings in your home courts where local law gives you that right; to the extent local mandatory law conflicts with the choice of law above, that local law prevails for you.
12. General
If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a right is not a waiver. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Questions: contact@winesage.ai.
